License Upgrades |

| When a customer buys more station licenses or any other broader license to use at a site, we call this a License Upgrade. At Bytes of Learning, the customer always benefits from the earlier license purchase by receiving a License Upgrade Credit or “Money Back Upgrade” equal to the amount the customer paid for the original license. |

Example: |
| | Suppose a school purchased a 30-station UltraKey 5.0 Standalone Plus license for 30 X $23 or $690. |
| | Then the school switches to an unlimited site license for UltraKey 5.0, normally costing $1,699.

| | The school would pay $1,699 less $690 or $1,009. |

Other guidelines: |
| • | The net price for any License Upgrade is a minimum of $25.
| |
| • | License upgrade credits are available through resellers at the same amounts as are available through Bytes of Learning.
| |
| • | License upgrade credits are not available for one-year licenses or subscriptions. | |
| • | Any credit for an existing license is calculated on the actual amount paid for the license after any credits were deducted or discounts provided. | |
| • | If proof of purchase or a record of the old license is not available, a letter from the principal or other authority attesting to the former purchase suffices. The value of the credit will be calculated on the price published at the time the former software license was purchased. | |
| • | Shipping and handling charges are payable by the customer separately in all cases. | |
| • | Where a District is changing licenses and it is impractical to calculate the net price due to multiple purchases and other complicating factors, Bytes of Learning may provide a simplified license upgrade quotation based on a reasonable estimation of the purchases the District has made. | |
